Terms of Service

These terms govern your use of basetool.ai (the “Site”), operated by SC BASETOOL SRL, a Romanian limited liability company (the “Company”, “we”, “our”). By accessing or using the Site you agree to these terms. If you do not agree, do not use the Site.
1. Using the Site
You may read our content, book a consultation call, and subscribe to our email updates. You agree not to:
- attempt to disrupt the Site (denial-of-service, intrusion, credential stuffing, automated scraping at abusive rates);
- use the subscribe form or any other input field to spam, phish, or inject content;
- republish or resell our content without permission (see section 4);
- use the Site in a way that violates Romanian or EU law.
We log and block abusive patterns. We may suspend access where continued use would harm the Site or other visitors.
2. Consultations and Statements of Work
A call booked through the Site is a preliminary conversation. Any consulting engagement is governed by a separate written Statement of Work (SOW) and Services Agreement signed by both parties. Nothing on this Site is a binding offer of services, fixed quote, or contract until a SOW is signed.
3. Email updates
The newsletter is opt-in. You can unsubscribe at any time using the one-click link in every email or by emailing privacy@basetool.ai. We do not send marketing email to addresses that did not opt in.
4. Intellectual property
The Site, its design, copy, code samples, and case studies are owned by the Company or used with permission, and are protected by Romanian and EU copyright law. Open-source projects we publish elsewhere are governed by their own licenses. You may quote short excerpts from the Site with attribution and a link back. For any other reuse or republication, email hello@basetool.ai.
“Basetool” and the Basetool logo are trademarks of SC BASETOOL SRL.
5. Third-party links and services
The Site links to and embeds third-party services (e.g. Calendly for booking, Loops for email subscriptions, Resend for transactional email, Google Ads, Vercel Analytics, LinkedIn, Instagram, X). Those services are operated by independent providers under their own terms and privacy policies. We are not responsible for their content or availability.
6. Disclaimers
The Site is provided “as is” and “as available”. To the maximum extent permitted by Romanian and EU law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Content on the Site is for general information and does not constitute legal, financial, or technical advice for your specific situation.
7. Limitation of liability
To the maximum extent permitted by Romanian and EU law, the Company and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or goodwill) arising from or related to your use of the Site, even if advised of the possibility of such damages. Nothing in these terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded under applicable law.
8. Indemnification
You agree to indemnify and hold the Company harmless from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your breach of these terms or your misuse of the Site.
9. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains what data we process, why, and how to exercise your GDPR rights.
10. Changes to these terms
We may update these terms from time to time. When we do, we update the “Last updated” date at the top. Material changes will be highlighted on the Site for a reasonable period. Continued use of the Site after changes take effect means you accept the updated terms.
11. Governing law and jurisdiction
These terms are governed by the laws of Romania, without regard to conflict-of-law principles. Any dispute arising from or related to these terms or the Site falls under the exclusive jurisdiction of the competent courts in Bucharest, Romania, except where mandatory consumer-protection law in your country of residence grants you a different forum.
12. Severability
If any provision of these terms is found unenforceable, the remaining provisions stay in effect and the unenforceable provision is replaced with a valid one that comes closest to its original intent.
